This agent agreement by and between IADC, Inc. Hereinafter known as IADC located at 540 86th Street, 2nd floor, Brooklyn, NY 11209 and the person and or company which completes agent application form, hereinafter known as agent. This agreement supersedes any previous or original agreement, oral or written, if such agreement exists. Now, therefore, in consideration of the mutual covenants and conditions herein contained and further considerations the parties hereto do agree as follows. Whereas, IADC agrees to allow the agent to provide services and products of IADC, and whereas the following terms, conditions shall apply: 1. Agent commissions A. Agent means any entity receiving commissions from mark up on IADC's product of service. B. Agent understands and agrees to be bound by IADC's sales policies and procedures. IADC reserves the right, from time to time, to change its policies and procedures as required. C. When obtaining application from customers, agent shall receive a copy of the document that proves applicant’s ability to operate the vehicle. D. Any and all contracted documents between customers and IADC, sales materials, or other like property which may be delivered by IADC to agent, shall be held by agent for the account of IADC and shall be considered the property of IADC and will be surrendered to IADC on demand or upon termination of this agreement. 2. Eligibility and payment A. Agent agrees to transfer payment for IADC's product or service simultaneously upon sending order to IADC. IADC will not process any orders that were not paid till the payments received and cleared. B. With thirty (30) days web site, e-mail or fax notice, IADC reserves the right to increase or decrease rates for new and existing products or services for the agent. C. This agreement shall be binding upon, and shall move to the benefit of, the parties, and their legal representatives, heirs and successors. However, no rates given to agent may be assigned, sub-contracted or otherwise transferred, either voluntarily, or involuntarily, without the prior written consent of IADC, which shall not be unreasonably withheld. Any such attempted transfer shall be void and shall constitute a breach of the agreement. D. IADC has no obligation for uncollected agent's payments. IADC agrees to provide reasonable assistance in collecting past due accounts. It is the responsibility of the agent to solicit customers with the ability to pay for IADC services. Agent shall not solicit or provision customers that do not have the resources to pay for IADC services. Agent is responsible for the bad debt of accounts provisioned by IADC under these circumstances. In the case of slamming or fraudulent activities the agent's agreement will be terminated immediately! E. Complete orders of IADC's product are sent by Federal Express unless otherwise agreed. IADC reserves the right to send completed product by other courier. F. This agreement will be terminated when agent agreement is terminated by agent or if agent elects not to pay fees or if agent becomes insolvent. IADC may elect to terminate the agency agreement if misrepresentation of products or services exists. In that event, the agent has a thirty (30) day period to correct the misrepresentation, within the boundaries of the law, otherwise this agency agreement is terminated by IADC and all future rights of the agent will be forfeited. H. If customer switches service from IADC to a competitor of IADC agent must contact the customer and try get the customer to switch back to IADC service. Agent may not offer customer competitive products or services. I. Agent shall be responsible for all reproductions of material used in the selling process. Agent will not use the name or logo of IADC, or any company that IADC represents, on any printed or visual medium without the express written permission of IADC. Agent shall make no factual or legal misrepresentations to a sub-agent customer or potential customer. Failure to follow these guidelines will constitute a material breach of this agreement. J. Agent agrees to take the responsibility to provide first five orders at the regular price in order to obtain special agent price. 3. Fees: First five orders - $60 + Shipping and Handling Next orders - - $40 + Shipping and Handling 4. Status of contractor: A. It is expressly understood and agreed that agent is a non-exclusive unless otherwise specified independent contractor with limited authority to promote and sell IADC's services. Agent shall pay any and all expenses incurred by agent in connection with the promotion and sale of IADC's services. No agents or employees of agent shall be deemed to be employees of IADC. Agent is not authorized to bind IADC in any way. 5. Non-disclosure: A. Information concerning the business affairs of IADC, or its vendors, and associated business partners, acquired by agent during the term of this agreement shall be held by agent in trust to IADC, it's successors and assigns. Agents shall have an absolute duty to maintain in confidence such knowledge or information and prevent disclosure to others any and all contract documents, lists, printed material or information which agent shall obtain from IADC will be considered proprietary. Agent acknowledges and agrees that information obtained from IADC needs to be protected from competitors and that the surrender through any means of any of the proprietary data to a competitor of IADC would cause financial losses. In the event that this was to occur, IADC would have cause for action for financial losses against agent. 6. Terms and termination: A. During the term of this agreement, IADC agrees to supply agent with the materials necessary for agent activity. B. The term of this agreement shall be for one year and continue each year thereafter if renewed by agent on the anniversary date of this agreement. 7. Liability and indemnification: A. Further, agent agrees to defend, indemnify and hold IADC and it's other agents and contractors harmless from and against all claims and demands for agents' or subagents' misrepresentations of products or services, fraud or any unlawful act, obligations, and liabilities for injury and death of persons, loss or damage to property, and all expenses and cost in connection therewith, including attorney's fees, and court costs arising out of agent's negligent acts or omissions under this agreement. Further, agent holds IADC harmless and assumes complete responsibility for all subcontractors, marketing agents, sales representatives, and employees utilized by agent in the sales and support of the sale and maintenance of IADC services and products, including the payment of commissions, fees, bonuses, and salaries to persons not contracted with IADC shall be the sole responsibility of agent. 8. Notices: A. To IADC: Any notice to be given to IADC shall be in writing bearing agent’s number and shall be deemed to have been given on the same day as received by certified, postage prepaid, or return receipt request mail, addressed to IADC at the address provided herein. Notices: To agent: Any notice to be given to agent shall be through the IADC Web site or E-mail and shall be deemed to have been given on the same day as which it was posted. Any notice specific to an agent with regard to contractual breaches shall be mailed via US Mail. 9. Governing law: A. All disagreements and questions as to its interpretations, performance and enforcement and the rights and remedies of the parties hereunder shall be determined in accordance with the laws of the state on New Jersey or New York. Should any provisions contained in this agreement violate the laws of any state in which this agreement is to be performed, parties mutually and knowingly agree that any suit arising out of or relating to this agreement shall be filed and adjudicated in the state of New Jersey or New York. 10. Entire agreement: A. This agreement shall be binding and inured to the benefit of the legal representatives, successors, and assigns of IADC and will be subject to the terms and conditions of this agreement. Agent acknowledges that agent has read this agreement, understands it, and agrees to be bound by it's terms and conditions. B. During the term of this agreement, and for a period of three (3) years following the termination of this agreement, agent (including any officer, director, shareholder, employee or representative of agent) will not directly, or indirectly, on agent's own account or as an employee, consultant, partner, owner, officer, director or stockholder of any other firm, partnership, or corporation, in any way directly, knowingly, divert, solicit or interfere with any of the customers, or agents or hire any personnel of IADC, or any associated partner, or entity, and not interfere with the contractual relations of any customer, sales person, agent or independent contractor earning commissions from IADC and agree that any and all such knowledge gained through your relationship with IADC is confidential unto IADC and agree that such knowledge shall not be used for any purpose, whether personal, business, or otherwise by you and shall not be given to any other individual, corporation or any other party or entity. You expressly agree that you shall never at any time following your association with IADC use or cause the use of the names or any other information regarding any IADC customers in any sales effort of any type whatsoever. C. Agent agrees to comply with all federal, state, and local laws, ordinances, regulations and rules now or hereafter in effect, relating to its activity, and that of its employees and associates. Agent also agrees to abide by all federal laws. This Agreement constitutes the entire understanding of the parties, and revokes and supersedes all prior agreements between the parties and is intended as a final expression of their Agreement. It shall not be modified or amended except in writing signed by the parties hereto and specifically referring to this Agreement. This Agreement shall take precedence over any other documents which may conflict with this Agreement. IN WITNESS WHEREOF, the agent hereto, intending to be legally bound hereby, have each agreed to this agreement by submitting this application.
